Guma Payments Inc Terms & Conditions
Welcome to Guma Payments Inc (“Guma”, “we”, “us” or “our”). Guma provides a white label SaaS platform for banks for corporate expense management system, alongside other fintech services (collectively the “Services”).
These Terms and Conditions (“Terms”) govern your access to and use of the Services, including any content or information provided through the Services (collectively, the “Content”).
By accessing or using any of the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

1. Use of the Services
You may use the Services only in compliance with these Terms. You may use the Services only if you have the legal power and capacity to form a contract with Guma.
The Services are intended for use by our clients, which are banks and businesses (“Clients”). You may not use the Services if you are a minor in the jurisdiction in which you reside.
2. Content
All Content is owned by Guma or its licensors and is protected by applicable intellectual property laws. No Content may be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purpose whatsoever without the prior written consent of Guma or the respective licensors of the Content.
You agree not to use any Content in any manner that would infringe or violate the rights of any other party, and Guma reserves the right to terminate your access to the Services if you do so.
3. Your Account
To access the Services, you must create an account with Guma. You are responsible for safeguarding the password that you use to access the Services, and you agree not to disclose your password to any third party.
You are responsible for any use of your account, whether or not authorized by you.
4. Fees
Guma may charge fees for certain Services. If you elect to use paid Services, you agree to the pricing and payment terms that are presented to you for that Service. Guma may add new services for additional fees and services may be modified or discontinued at any time.
5. Privacy
Your privacy is important to us. Our Privacy Policy explains how we handle your personal data and protect your privacy when you use the Services. By using the Services, you agree that Guma can use such data in accordance with our Privacy Policy.
6. No Warranties
Guma provides the Services on an “as is” and “as available” basis. Your use of the Services is at your own risk. We do not guarantee the accuracy or timeliness of information available from the Services.
Guma hereby disclaims all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement.
7. Limitation of Liability
Guma will not be liable for any direct, indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.
8. Indemnity
You agree to indemnify and hold Guma and its affiliates, officers, agents, employees, and partners harmless from and against any and all claims, liabilities, damages (actual and consequential), losses and expenses (including attorneys' fees) arising from or in any way related to any third party claims relating to your use of the Services, any violation by you of these Terms or any other actions connected with your use of the Services.
9. Termination
We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Services will immediately cease.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
